1 Introduction
1.1 This document (together with any documents referred to in it) sets out the terms and conditions (the “Conditions”) upon which we will supply our Services to you. You may print a copy for future reference.
1.2 Business Day: a day other than a Saturday, Sunday or public holiday when banks in London are open for business.
1.3 “Services” means the consulting, advisory, and build services listed on the website which we may supply.
1.4 Before confirming an engagement please read through these Conditions, in particular the limitation of our liability and your indemnity.
1.5 By engaging us for any of the Services, you agree to be legally bound by these Conditions.
2 About us
2.1 This website is owned and operated by Stuart Cole Consulting (“we”/”us”/”our”). [Company registration number, registered office address, and VAT number — to be confirmed and inserted here if applicable.]
2.2 Our email address is [email protected].
3 Eligibility
To be eligible to engage our Services and lawfully enter into a contract with us, you must be 18 years of age or over and have the authority to bind the organisation you represent, where applicable.
4 Price
4.1 The prices or fees for our Services are quoted on individual service pages, in proposals, or agreed directly with you in writing.
4.2 Prices and any other charges quoted are based on the performance of the Services within the United Kingdom unless otherwise specified.
4.3 Unless otherwise stated, prices quoted exclude VAT.
5 Payment
5.1 Payment can be made by bank transfer or any other method agreed between us.
5.2 Payment terms will be set out in the relevant proposal, quote, or invoice.
5.3 We shall contact you should any problems occur with payment.
6 Order process and formation of a contract
6.1 All engagements are subject to acceptance and availability. If we are unable to supply the Services due to matters such as an Event Outside our Control or an identified mistake in the description or price stated by us, we will notify you and will not proceed with the engagement.
6.2 A request or order placed by you constitutes an offer to engage our Services.
6.3 A contract between you and us for the supply of the Services (the “Contract”) comes into existence when we confirm acceptance of your order or engagement in writing (a “Confirmation Notice”).
6.4 If you think there is a mistake in the Confirmation Notice, or wish to make changes, please contact us to discuss.
6.5 We may make changes to these Conditions as a result of changes in relevant laws, regulatory requirements, or how we accept payment. We will give you written notice of any such changes before continuing to supply the Services, and you may cancel the contract if the change is significantly to your disadvantage.
7 Termination
Either party may terminate an engagement in accordance with the terms set out in the relevant proposal or agreement. If no specific terms are agreed, either party may terminate with reasonable written notice.
8 Complaints
If you have a comment, concern or complaint about any Services you have engaged from us, please contact Stuart Cole directly by email at support @stuartcole.co.uk.
9 Liability and indemnity
To the maximum extent permitted by law, you assume full responsibility for any loss that results from your use of the website and the Services. We won’t be liable for any indirect, punitive, special, or consequential damages under any circumstances, even if based on negligence or where we have been advised of the possibility of those damages. Our total liability for all claims made about the Service in any month will be no more than what you paid us for the Service in the month before.
10 Use of personal data
You authorise us to process and transmit your name, address and other personal information supplied by you (including updated information) to supply the Services to you and to inform you of similar Services we provide, though you may contact us at any time to request that we stop informing you of these. See our Privacy Policy for further details.
11 Anti-Spam Policy
We have a strict policy against spamming and forbid the sending of unsolicited mass emails. If you are “spammed” by anyone regarding our services or website, please report this to support @stuartcole.co.uk.
12 Third party rights
Except for our affiliates, employees or representatives, a person who is not a party to the Contract has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract, but this does not affect any right or remedy of a third party that exists or is available apart from that Act.
13 Third party sites
Our website may permit you to link to other websites on the internet, and other websites may contain links to our website. These other websites are not under our control, and we are not responsible for the accuracy, legality, appropriateness or any other aspect of the content or function of such websites.
14 Other important terms
14.1 We reserve the right to change the domain address of this website and any services, pricing or availability at any time.
14.2 If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions will not be affected.
14.3 All Contracts are concluded in English only.
14.4 If we fail at any time to insist upon strict performance of any of your obligations under a Contract or these terms and conditions, this shall not constitute a waiver of such rights and shall not relieve you from compliance with your obligations.
14.5 A waiver by us of any default shall not constitute a waiver of any subsequent default.
14.6 We may use your name and logo on our website, with your permission, as a case study or testimonial reference.
15 Governing law
These Conditions and the Contract are governed by the laws of England and Wales. We make no representation that the Service is appropriate or legally available for use in locations outside the United Kingdom, and accessing and using the Service is prohibited from territories where doing so would be illegal.
